- You are responsible for any fees charged by your bank or payment provider
- Failed payments may result in suspension or termination of your account

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount paid by you to us for the Service in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless GipGimpl and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.
Termination
Termination by You
You may terminate your account and discontinue use of the Service at any time by:

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

- Violation of applicable laws or regulations
- Fraudulent, abusive, or harmful behavior
- Non-payment of fees when due
- Prolonged inactivity
- Technical or security concerns
- Business reasons or discontinuation of the Service
Effect of Termination
Upon termination of your account:
- Your right to access and use the Service ceases immediately
- We may delete your account, content, and data, subject to applicable law and our data retention policies
- You remain liable for all charges incurred prior to termination
- Provisions of these Terms that by their nature should survive termination shall survive
- We may retain certain information as required by law or for legitimate business purposes
Dispute Resolution and Governing Law
Governing Law
These Terms and your use of the Service are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles.
Dispute Resolution Process
- Before initiating any legal proceedings, you agree to first attempt to resolve disputes through direct negotiation with us
- If direct negotiation fails, disputes may be resolved through binding arbitration in Vancouver, British Columbia
- Arbitration shall be conducted in accordance with the rules of the British Columbia International Commercial Arbitration Centre
- The arbitration shall be conducted in English and the decision shall be final and binding
Jurisdiction and Venue
For any disputes not subject to arbitration, you agree that the courts of British Columbia, Canada, shall have exclusive jurisdiction, and you consent to personal jurisdiction in such courts.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us concerning the Service and supersede all prior or contemporaneous communications and proposals.
Severability
If any provision of these Terms is deemed invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.
Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
